Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Clipperz Sdn. Bhd. (Registration No. 202601013234 / 1675332-W), operating as "Clippz" ("we", "us", "our"). By creating an account or using our app or website (the "Service"), you agree to these Terms.

1. Eligibility

You must be able to form a binding contract to use Clippz. If you're under 18, a parent or legal guardian must complete our guardian consent flow and remain responsible for your use of the Service, including any earnings, payouts, or agreements you enter into.

2. Your account

You're responsible for the accuracy of your account information and for keeping your login credentials secure. Notify us immediately if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms, provide false information, or engage in fraud, harassment, or abuse.

3. What Clippz provides

Clippz is a platform connecting creators, freelancers, affiliates, vendors, and communities, enabling gigs, milestone-based collaboration, content clipping and distribution, and payouts. We are a marketplace and facilitator; we are not a party to the underlying agreements creators and clients make with each other unless explicitly stated.

4. Content and intellectual property

• You retain ownership of content you upload or create through Clippz ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote Your Content solely to operate and improve the Service.
• You confirm you have the rights needed to post Your Content and that it doesn't infringe anyone else's rights.
• The Clippz name, logo, and app are our intellectual property. You may not copy, modify, or reverse-engineer any part of the Service except as permitted by law.

5. Payments, payouts, and fees

Funds for milestone-based work may be held in escrow and released according to the milestone terms agreed between the parties. Payout timing depends on your payout method and any KYC checks required for compliance. Applicable fees are disclosed in-app before you confirm a transaction. You're responsible for any taxes owed on your earnings.

6. Prohibited conduct

You agree not to:

• Post unlawful, infringing, deceptive, or harmful content.
• Circumvent Clippz's payment or fee systems.
• Harass, exploit, or endanger any user, including minors.
• Use the Service to launder funds or process illegal transactions.
• Interfere with or attempt to compromise the Service's security or integrity.

7. Termination

You may stop using Clippz and delete your account at any time. We may suspend or terminate your access for violating these Terms, for legal or security reasons, or to protect the Service and its users, with notice where reasonably possible.

8. Disclaimers and limitation of liability

The Service is provided "as is." To the maximum extent permitted by law, Clippz disclaims warranties of any kind and is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including disputes between users. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Governing law

These Terms are governed by the laws of Malaysia, without regard to conflict-of-law principles. Disputes will be subject to the exclusive jurisdiction of the courts of Malaysia, except where mandatory local consumer-protection law provides otherwise.

10. Changes to these Terms

We may update these Terms as the Service evolves. Material changes will be notified in-app or by email, and continued use after changes take effect means you accept the updated Terms.
